NOTICE OF SALE OF BONDS NOT EXCEEDING $27,000,000 LAFAYETTE PUBLIC TRUST FINANCING AUTHORITY REVENUE BONDS (RAGIN CAJUN FACILITIES, INC. STUDENT UNION/UNIVERSITY FACILITIES PROJECT) SERIES 2010 PLACE AND TIME OF SALE NOTICE IS HEREBY GIVEN by the Lafayette Public Trust Financing Authority (the "Authority") that the Louisiana State Bond Commission (the "Commission"), for and on behalf of and at the request of the Authority, proposes to sell to Morgan Keegan & Company, Inc., New Orleans, Louisiana (the "Purchaser") not exceeding Twenty-Seven Million Dollars ($27,000,000) principal amount of Lafayette Public Trust Financing Authority Revenue Bonds (Ragin! Cajun Facilities, Inc. Student Union/University Facilities Project) Series 2010 (the "Bonds"), at the regular meeting of the Commission scheduled for Thursday, September 16, 2010, at ten (10:00) o'clock a.m., Baton Rouge time, at the State Capitol Building, Baton Rouge, Louisiana, or such other date, time and/or place as may be determined by the Chairman or by the Secretary of the Commission. THE BONDS The issuance and sale of the Bonds will be duly authorized pursuant to the terms of a resolution adopted by the Authority on or about September 2, 2010, under the provisions of the Act. The Bonds will be issued in accordance with the provisions of a Trust Indenture dated as of November 1, 2010, or such other date as may be determined by the Authority, (the "Indenture"), between the Authority and Regions Bank, Baton Rouge, Louisiana, as trustee (the "Trustee"). The Bonds are being issued for the purpose of providing funds (i) for the cost of demolishing certain existing facilities and for the development, design and renovation of the existing UL-Lafayette Student Union; the development, design and renovation of O.K. Allen Hall to provide for a student health center; and the development, design and construction of a new food services center; and other infrastructure (the "Project") at the University of Louisiana at Lafayette (the "UL Lafayette") in the City of Lafayette, Parish of Lafayette, State of Louisiana, (the "Facilities"), (ii) paying capitalized interest on the Bonds, and (iii) paying costs of issuance of the Bonds, pursuant to a Trust Indenture dated as of November 1, 2010 (the "Indenture") by an between the Authority and the Trustee; which Facilities shall be constructed by the Ragin Cajun Facilities, Inc., a Louisiana non profit corporation (the "Corporation") on the campus of UL-Lafayette at the corner of Boucher Street and McKinley Street, at 220 Hebrard Boulevard and other areas of the campus, Lafayette Parish, Lafayette, Louisiana, which land is owned by the Board of Supervisors for the University of Louisiana System (the "Board"). The proceeds of the Bonds will be loaned to the Corporation and the Corporation will construct the Project on land which will be leased by the Board to the Corporation pursuant to a ground lease (the "Ground Lease"). The Corporation will lease and/or sublease the Project to the Board pursuant to a facilities lease (the "Facilities Lease"). The Corporation will assign all of its right, title and interest under the Facilities Lease to secure the repayment of the Bonds. In addition, proceeds of the Bonds will be applied to pay costs of issuance of the Bonds, and to fund deposits to the reserve fund and the maintenance reserve account created under the Indenture. The Bonds are issuable as fully registered bonds in the denominations set forth in the Indenture. The Bonds will be dated, mature on such dates and bear interest at the rates and are payable, all as provided in and subject to the terms and conditions of the Indenture. The Bonds will be subject to redemp-tion prior to maturity as set forth in the Indenture. SECURITY FOR THE BONDS The Bonds are issued under and equally secured both as to principal and interest by the Indenture, which Indenture provides a complete description of the pledged property and revenues constituting the Trust Estate (as defined in the Indenture) the nature and extent of the security, a statement of the terms and conditions on which the Bonds are issued and secured, the rights, duties and obligations of the Authority, the rights, duties and immunities of the Trustee and the rights of the owners of the Bonds. The Authority will transfer the proceeds of the Bonds to the Corporation pursuant to a Loan Agreement to be dated as of November 1, 2010, or such other date as may be determined by the Authority, (the "Loan Agreement"), by and between the Authority and the Corporation. The Bonds are limited and special revenue obligations of the Authority and shall be deemed to have been issued on behalf of the City of Lafayette, the beneficiary of the Authority, and do not constitute or create an obligation, general or special, debt, liability or moral obligation of the State of Louisiana, the City of Lafayette, the Parish of Lafayette, or any political subdivi-sion thereof or personal obligations of the Authority. Neither the faith and credit nor the taxing power of the State of Louisiana, the City of Lafayette, the Parish of Lafayette, or of any political subdivision thereof is pledged to the payment of the principal of or the interest on the Bonds. Neither the State, the Parish, the City nor any political subdivision thereof shall in any manner be liable for the payment of the principal of, premium, if any, and interest on the Bonds or for the performance of any agreement or pledge of any kind which may be undertaken by the Authority and no breach by the Authority of any agreement shall create any obligation upon the State, the Parish, the City or any political subdivision of the State, the Parish or the City. The Authority has no taxing power and receives no funds from the State, the Parish, the City or any political subdivision of the State, the Parish or the City. The Bonds are payable solely from revenues derived from the Loan Agreement and other amounts available under the Indenture. The Bonds, shall be dated, shall mature (not to exceed 32 years) and shall bear interest at the rate or rates as set forth in the Indenture. The Bonds will be issued in fully registered form only. GENERAL INFORMATION This Notice of Sale of Bonds is being published in accordance with the requirements of the Act. For a period of thirty (30) days from the date of publication of this Notice of Sale of Bonds, any person or persons in interest shall have the right to contest the legality of this Notice of Sale of Bonds or any resolution or other proceedings authorizing the issuance of the Bonds and the legality of the Bonds for any cause, after which time no one shall have any cause or right of action to contest the legality of said resolution or other proceedings or of the Bonds authorized thereby for any cause whatsoever. If no suit, action or proceedings are begun contesting the validity of the Bonds within such thirty (30) days, the authority to issue the Bonds and to provide for the payment thereof, the legality thereof and of all of the provisions of the resolution or other proceedings authorizing the issuance of the Bonds shall be conclusively presumed, and no court shall have the authority to inquire into such matters. All historic work must be provided by an experienced firm regularly engaged in historic treatments similar in nature, materials, design, and extent to this work as specified in each section, and that has completed a minimum of five recent projects with a record of successful in-service performance that demonstrate the firm's qualifications to perform this work. Each bid must be accompanied by a certified check, cashier's check or bid bond acceptable to the Owner in the amount equal to at least five percent (5%) of the total amount bid and payable without condition to the Owner as a guarantee that the bidder, if awarded the Contract, will promptly execute a contract in accordance with all terms and conditions of the Contract Documents.
